Public Offer

This document is an official proposal (public offer) of CDEK BKK Company Limited (CDEK BKK Co., LTD), registration number 0105565199963, registered address: 18/6 Soi Udomsak 31, Khwaeng Bangchak, Khet Phrakanong, Bangkok 10260, Kingdom of Thailand (the “Operator”, the “Company”), to enter into a contract for fulfillment services on the terms set out below. The contract is concluded with any person who accepts this offer in accordance with Section 2 (the “Customer”).

1. Subject of the contract

1.1. The Operator provides the Customer with fulfillment services in the Kingdom of Thailand: receiving, inspection, storage, packing, labeling, consolidation, dispatch and other handling of commercial cargo and orders.

1.2. For international delivery, the Operator engages logistics operators (CDEK, Thai Post, DHL and others).

1.3. Services are provided by the Operator itself or with the involvement of third parties in the Operator’s name and at the Customer’s expense.

2. Acceptance of the offer and conclusion of the contract

2.1. Acceptance of the offer is either of the following actions by the Customer: payment of an invoice issued by the Operator, or confirmation of an order via electronic communication channels (email, messenger) after receiving a quote from the Operator.

2.2. Upon acceptance, a contract for the paid provision of services arises between the parties and is governed by these terms.

2.3. A quote request through the form on the website cdek-fulfillment.asia or via other communication channels is not an acceptance of the offer, an order or a contract, and creates no obligation to pay.

3. Services and procedure

3.1. The Customer provides the Operator with a description of the goods, volumes, shipment frequency and other material terms — through the form on the website or via other communication channels.

3.2. The Operator calculates the cost of services (warehousing, packing, logistics) and sends the Customer an invoice.

3.3. After payment, the Operator begins performance.

4. Cost of services and payment

4.1. The cost and scope of services are determined individually and stated in the invoice.

4.2. Payment is made in Thai baht (THB), US dollars (USD) or another agreed currency to the Operator’s bank account with Siam Commercial Bank PCL.

4.3. Payment system fees and currency conversion costs are borne by the Customer.

5. Refunds and cancellations

5.1. If an order is cancelled before performance begins, a refund is possible less actually incurred expenses and bank fees.

5.2. After performance has begun, a refund is made only if non-performance of services through the Operator’s fault is documented.

6. Liability of the parties

6.1. The Operator is liable for the proper provision of services under this contract but is not liable for the actions of third parties (carriers, customs authorities, sellers of goods).

6.2. The Operator is not liable for delays, loss of or damage to cargo caused by force majeure.

6.3. The Customer is responsible for the accuracy of the data provided, the lawfulness of the goods and compliance with the customs requirements of the Kingdom of Thailand and the country of destination.

7. Confidentiality and personal data

7.1. The parties undertake not to disclose information obtained in the course of performing the contract.

7.2. Personal data is processed in accordance with the Privacy Policy (cdek-fulfillment.asia/privacy/en/).

8. Term of the contract

8.1. The contract is valid from acceptance until the parties have fully performed their obligations.

8.2. The contract may be terminated at the initiative of either party by mutual agreement.

9. Governing law and disputes

9.1. The laws of the Kingdom of Thailand govern the relations of the parties.

9.2. Disputes are subject to the courts at the Operator’s location (Bangkok, Thailand).
